1. General Terms
These Terms and Conditions apply to all business transactions between Carpient AB (“Carpient”) and our resellers. By placing an order, the reseller accepts these terms in full. Carpient works exclusively with professional partners within retail, interior design, and project-based sectors.
2. Prices and Payment
All prices are quoted excluding value-added tax (VAT). Payment must be made in accordance with the agreed terms stated on the invoice. Late payments may be subject to statutory interest charges.
3. Approval and Distribution Rights
Submitting an application does not automatically establish a partnership. Carpient reserves the right to approve or decline applications based on market considerations, positioning, and brand alignment. Distribution rights are granted only once a partnership has been formally approved.
4. Fulfillment Options
Carpient offers three fulfillment options:
Dropshipping – direct delivery from our logistics center in Hamburg to the end customer.
Stock Purchase – bulk orders for resellers who wish to hold their own inventory, enabling exclusivity and higher margins.
Hybrid Solution – a combination of dropshipping and stock purchase.
Delivery times vary depending on order type and product and are always confirmed in writing.
5. Shipping and Transfer of Risk
Shipping costs are agreed separately. Responsibility for the goods transfers to the reseller once the products have been handed over to the carrier.
6. Claims and Returns
Any defects or damages must be reported in writing within 14 days of delivery. Returns are accepted only after prior written approval from Carpient.
7. Product Quality and Certification
Carpient guarantees that all products are manufactured in accordance with applicable quality and sustainability standards. Certifications, such as Oeko-Tex, are clearly stated in the product documentation.
8. Access to Resources
Approved resellers receive access to Carpient’s digital resources, including image banks, marketing materials, and collection guides.
9. Liability
Carpient is not liable for indirect damages or losses, including loss of profit or goodwill. Our liability is limited to the value of the product.
10. Force Majeure
Carpient is not responsible for delays or failure to deliver caused by circumstances beyond our control, such as strikes, fires, natural disasters, or government actions.
11. Governing Law and Dispute Resolution
These terms are governed by Swedish law. Disputes shall primarily be resolved through negotiation and, if necessary, settled by the Malmö District Court.
